The merger of the subsidiary Triglav, Zdravstvena zavarovalnica with its parent company Zavarovalnica Triglav d.d. has been successfully completed. On 1 October 2024, the entry of the merger and the deletion of the subsidiary was made in the register of companies at the Ljubljana District Court, with the parent company becoming its universal legal successor. The merger will simplify and optimise the Triglav Group's operations in the Health segment on the Slovenian market, which will continue to be one of the Group's key development segments, allowing it to provide a comprehensive range of products and services to its clients.
At the end of August this year, Triglav, Zdravstvena zavarovalnica (TZZ) and its parent company Zavarovalnica Triglav (ZT) obtained merger authorisation from the Slovenian Insurance Supervision Agency. With the entry of TZZ's merger with ZT in the register of companies, TZZ ceased to exist, and ZT, as the parent company of Triglav Group – the largest insurance and financial group in Slovenia and the Adria region – became its full universal legal successor.
Through this merger, the Group is further optimising and simplifying its operations in the Health segment within the Slovenian market, with the aim of continuing to provide clients with financial security in the event of illness or injury. To achieve this, the Company is developing, strengthening and upgrading its health insurance products and related services both in Slovenia and in the markets of the Adria region, thereby contributing to the integrity of the Triglav Group's range of products and services, i.e. comprehensive management of clients throughout their entire lifetime.
The merger does not affect the status of policyholders or insured persons, nor does it alter the scope of rights and obligations under the insurance contracts. All insurance contracts between clients and TZZ remain in force under the same conditions, with the risks previously covered by TZZ now covered by ZT. Upon the merger's entry into the register of companies, ZT became the personal data controller for TZZ's policyholders and insured persons.
